1. Acceptance of Terms: By accessing or using the Platform, you agree to be bound by these Terms & Conditions. If you do not agree to these terms, please refrain from using the Platform.

2. Platform Access: Access to the Platform is provided on an 'as is' and 'as available' basis. We reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time without prior notice.

3. User Accounts: To access certain features of the Platform, you may be required to create a user account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. User Content: By uploading, submitting, or transmitting any content on the Platform, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content for the purpose of operating and improving the Platform.

5. Intellectual Property: All content, trademarks, logos, and intellectual property displayed on the Platform are owned or licensed by us. You may not use, reproduce, distribute, or modify any content from the Platform without prior written consent.

6. Prohibited Conduct: You agree not to engage in any conduct that violates these Terms & Conditions, including but not limited to:

• - Impersonating any person or entity.
• - Interfering with the operation of the Platform.
• - Uploading or transmitting any harmful or malicious content.
• - Violating any applicable laws or regulations.

7. Privacy Policy: Your use of the Platform is subject to our Privacy Policy, which governs the collection, use, and disclosure of your personal information. By using the Platform, you consent to the terms of our Privacy Policy.

8. Limitation of Liability: In no event shall we be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in any way connected with your use of the Platform.

9. Indemnification: You agree to indemnify and hold us harmless from any claims, damages, losses, or liabilities arising out of your use of the Platform or violation of these Terms & Conditions.

9A. Lead Retention and Attribution after Forwarding:

9A.1 Start of the 24-month period: Where an Affiliate forwards a Lead to an Agency or Developer through the Platform, that Lead remains recorded in the Platform for twenty-four (24) months. The 24-month period starts at the moment the Lead is first forwarded through the Platform to that Agency or Developer. It does not start at the moment the Affiliate first created or registered the Lead in their own account.

9A.2 Same buyer registered by two Affiliates: Only one party may be recognised as the official lead bringer for the same buyer in relation to the same property or development. If two or more Affiliates register or forward the same buyer, the earlier valid Platform timestamp prevails, unless the later party can prove fraud, error, duplication, or a materially earlier valid introduction. Any private arrangement between Affiliates about sharing a commission is solely their responsibility and falls outside these Terms.

9A.3 Buyer already known to the Agency or Developer: A Lead may not be attributed to an Affiliate where the Agency or Developer can demonstrate, on the basis of records predating the forwarding, that the same prospective buyer was already in an active commercial relationship with that Agency or Developer in respect of the same property or development. Any objection on that basis must be raised in writing through the Platform or by email to business@inmoconnect.com within ten (10) working days of the forwarding. If no valid objection is raised in time, the forwarded Lead shall be treated as validly attributed to the Affiliate for the purposes of the Platform.

9A.4 Transaction started within the 24 months but completed later: If a transaction with that Lead is started during the 24-month period (including a reservation, offer, deposit contract or equivalent binding step) but is only completed after the 24-month period has expired, the Affiliate remains entitled to the agreed commission, provided the Affiliate was the official lead bringer and the other conditions of these Terms are met. The expiry of the 24-month period does not cancel a commission right that already arose from a transaction started during that period.

9A.5 After expiry: After the 24-month period expires, and if no transaction was started during that period, the Lead may be archived, anonymised or deleted in accordance with the Privacy Policy, unless a longer retention period is required for legal claims, tax obligations or another valid reason under the GDPR.

10. Governing Law: These Terms & Conditions shall be governed by and construed in accordance with the laws of the Spanish legal system. without regard to its conflict of law principles.

11. Changes to Terms & Conditions: We reserve the right to modify or update these Terms & Conditions at any time without prior notice. Your continued use of the Platform after any changes indicates your acceptance of the revised terms.
